As well as advising on commercial arrangements generally, the commercial group advises on the structuring of start up and restructuring of existing business operations. This extends to merger and acquisition work, joint ventures, and corporate finance. Examples of recent transactions and instructions. Regulatory issues

The group has extensive experience in regulatory issues and assists clients in applications for FSA authorisation for insurance companies or brokers and advises on all aspects of FSA and Lloyd's regulation. We advise particularly on all issues relating to the UK insurance companies market (including issues relating to those companies that are in run-off), Lloyd's syndicates, Lloyd's members' and managing agencies and insurance brokers.

Alternative Risk Transfer (ART)

In addition to traditional aspects associated with commercial work, we have expertise in the areas of Alternative Risk Transfer. We handle a range of work including new product development, captives and protected cell structures and market loss warranty, index-linked and parametric trigger contracts. We also advise on applications to the FSA for authorisation to arrange ART solutions.

Commercial litigation

As well as non-contentious commercial work, the firm has a strong reputation and extensive experience in resolving commercial disputes, acting on a wide variety of commercial matters. We achieve resolution of disputes by negotiation and Alternative Dispute Resolution (ADR) be it mediation or arbitration. If necessary, however, we will achieve it by litigation. The firm's objective is to resolve disputes with the best result for the client whilst doing so economically and quickly.

The firm's large and experienced team deals with proceedings in the Commercial Court and Chancery Division, as well as international arbitrations, bringing innovative solutions to difficult problems. These include large contractual disputes, recovery actions and proceedings arising out of insolvencies, professional indemnity claims, financial transactions, and the collapse of banks and trading markets as well as international trade.
